What is Joint Venture?

The meaning of a Joint Venture (JV) is that it's a type of strategic partnership in which two or more entities come together and pool their resources to achieve a common business objective. The contributions or resources from different entities could be in the form of capital, expertise, or technology.

Depending on the goals of the ventures, they are divided into two categories:

  1. Incorporated Entities: They are public or private companies.
  2. Unincorporated Arrangements: It includes contracts based on the joint venture agreement.

Taxation on Joint Ventures in India

The taxation on Joint Ventures in India depends on its structure type. Here are the different JV formats and how they are taxed:

1. JVs Registered as Companies

  • It is taxed at the rate of 22-30%, depending on the turnover and the specific conditions.
  • There may be an additional surcharge and cess that applies based on income levels.

2. JVs as Partnerships or LLPs

  • It is subject to 30% tax rates, which is similar to that of corporations.
  • The profit shares of the partners are non-taxable, but any bonus, salary, and other payments come under the joint venture tax.

3. Unincorporated JVs

  • Unincorporated and poorly structured JVs may face tax complications.
  • They will be called the AOPs (association of persons) and can be taxed at the higher rates of 40%.

Capital Gain tax and GST applicability on JVs

  • Capital gain tax on a joint venture is applied only when the assets or shares are sold. The structure of the investment and intent of the transaction will come into consideration while doing the taxation, because it will decide whether it is business income or capital gains.
  • The GST applicability on joint ventures arises when you supply any goods or services, but the condition is that your turnover must surpass the prescribed threshold. The GST taxation will be based on whether the joint venture acts as a separate entity or the transaction happens between the partners.
